These Terms of Use ("Terms") govern your access to and use of ligant.ai and any subdomain operating the same public landing site (collectively, the "Site"), operated by Ligant.ai Incorporated ("Ligant.ai," "we," "us," "our"). By accessing the Site, you agree to these Terms. If you do not agree, do not use the Site.

These Terms do not govern the use of the Ligant.ai platform itself, which is in pre-launch. A separate Master Subscription Agreement will apply when the platform is generally available.

The Site is provided for informational purposes and to allow you to contact us, join the waitlist, or apply for the research preview. You may view, share, and link to the Site freely. You may not:

The Site, including all text, graphics, logos, screenshots, videos, illustrations, and software, is owned by Ligant.ai or its licensors and is protected by copyright, trademark, and other intellectual-property laws. The Ligant.ai name and logo are trademarks of Ligant.ai Incorporated. Nothing on the Site grants you any licence to use these marks without our prior written consent.

3. Third-party content and links

The Site may contain links to third-party websites (e.g. LinkedIn, Google Calendar) and may embed third-party content (e.g. LinkedIn posts). We do not control, endorse, or assume responsibility for any third-party content, and your interactions with those third parties are governed by their own terms.

4. Submissions

If you submit information through a form on the Site (contact form or research preview application), you confirm that the information is accurate and that you have the right to share it. You grant Ligant.ai a non-exclusive, royalty-free licence to use that information for the purposes described in our Privacy Policy. The portion of this licence necessary for us to lawfully operate the Site, maintain our records, and comply with applicable law is perpetual and irrevocable, but does not affect your right to request deletion or withdraw consent as set out in the Privacy Policy.

The research-preview application asks for competitively sensitive information (target genes, indications, programme stage). We treat this information as confidential and limit access to senior Ligant.ai team members evaluating the application. We will not disclose it to third parties except as required by law or with your separate consent.

5. Disclaimer of warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF INFORMATION. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Statements on the Site about the Ligant.ai platform (including target benchmarks, capabilities, and timelines) describe our intended product and are not commitments or guarantees.

6. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LIGANT.AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE.

SUBJECT TO THE CARVE-OUTS BELOW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100), OR (B) THE AMOUNTS YOU HAVE PAID LIGANT.AI FOR ACCESS TO THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE PARTIES ACKNOWLEDGE THAT THIS CAP REFLECTS A REASONABLE ALLOCATION OF RISK GIVEN THAT THE SITE IS PROVIDED FREE OF CHARGE AND IS NOT THE LIGANT.AI PLATFORM, WHICH WILL BE GOVERNED BY A SEPARATE AGREEMENT.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD OR FRAUDULENT MISREPRESENTATION, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

7. Indemnification

You agree to defend, indemnify, and hold harmless Ligant.ai and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in connection with your violation of these Terms or your misuse of the Site.

8. Forward-looking statements

The Site contains forward-looking statements about Ligant.ai's product, roadmap, and business. These reflect our current intentions and are subject to risks and uncertainties. Actual results, timelines, and capabilities may differ materially. Forward-looking statements include, without limitation, statements about platform capabilities, database integrations and counts, performance benchmarks, accuracy or traceability of outputs, the systematic nature of the evaluation pipeline, launch timeline, intended pricing or terms, and product roadmap. You should not rely on any forward-looking statement as a commitment, warranty, or representation of present fact.

9. Privacy

Your use of the Site is also subject to our Privacy Policy, which is incorporated into these Terms by reference.

10. Changes

We may update these Terms from time to time. The "Effective" date at the top will reflect the most recent update. Material changes will be communicated through the Site. Your continued use of the Site after a change constitutes acceptance of the updated Terms.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site will be resolved in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts. If you reside in a jurisdiction that requires application of local consumer-protection laws, nothing in these Terms displaces your statutory rights under those laws.

12. Severability and entire agreement

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect. These Terms (together with the Privacy Policy) constitute the entire agreement between you and Ligant.ai regarding your use of the Site, superseding any prior agreements.

13. DMCA / copyright notices

Ligant.ai respects the intellectual-property rights of others. If you believe content on the Site infringes your copyright, send a notice under the Digital Millennium Copyright Act (17 U.S.C. § 512) to our designated agent at legal@ligant.ai with the subject line "DMCA Notice". Your notice must include: (i) a physical or electronic signature of the copyright owner or authorised agent; (ii) identification of the copyrighted work claimed to be infringed; (iii) identification of the allegedly infringing material and its URL on the Site; (iv) your contact information; (v) a statement that you have a good-faith belief that the use is not authorised; and (vi) a statement, under penalty of perjury, that the information is accurate and that you are authorised to act on the owner's behalf. We will respond to valid notices in accordance with the DMCA. Misrepresentations may subject you to liability under 17 U.S.C. § 512(f).

14. Accessibility

Ligant.ai is committed to making the Site accessible to people with disabilities and works toward conformance with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. If you have difficulty accessing any part of the Site, or need content provided in an alternative format, please contact legal@ligant.ai and we will work with you to provide reasonable accommodations.

15. Export controls and sanctions

The Site and any information you obtain from it are subject to U.S. export-control laws, including the Export Administration Regulations (EAR) administered by the U.S. Department of Commerce and economic sanctions administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC). By using the Site, you represent that you are not located in, organised under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions, and that you are not a person identified on any U.S. government restricted-party list (including the OFAC Specially Designated Nationals list, the Bureau of Industry and Security Entity List, or the Denied Persons List). You agree not to access or use the Site in violation of any applicable export-control or sanctions law.
